International Business Law
本课程介绍国际商务活动涉及的法律规则与制度框架，培养学生识别和应对国际商业法律风险的能力。课程内容包括国际商法渊源与法律体系比较、国际货物买卖合同法（CISG）、国际贸易术语与支付法律问题、国际海上货物运输与保险法、国际知识产权保护、国际投资法与争端解决、WTO法律规则、国际商事仲裁等。通过案例研讨，学生将掌握国际商务法律实务的基本知识与技能。
This course introduces legal rules and institutional frameworks involved in international business activities, developing students' ability to identify and address international commercial legal risks. Topics include sources of international commercial law and comparative legal systems, CISG, trade terms and payment legal issues, international maritime cargo transportation and insurance law, international IP protection, international investment law and dispute settlement, WTO legal rules, and international commercial arbitration.
学生分组扮演仲裁庭、申请人与被申请人，参与国际货物买卖合同纠纷模拟仲裁。案例涉及品质争议、迟延交货、支付纠纷等常见国际贸易法律问题。要求各组完成：案情分析与法律意见书、证据清单与质证意见、仲裁申请书/答辩书、庭审口头辩论。期末举行模拟仲裁庭审，由教师与特邀业界人士组成仲裁庭进行评审。
Student teams act as arbitral tribunal, claimant, and respondent in a simulated arbitration of an international sales contract dispute. The case involves common international trade legal issues such as quality disputes, late delivery, and payment conflicts. Each team prepares: case analysis and legal opinion, evidence list and cross-examination notes, arbitration application/defense statement, and oral arguments. A mock arbitration hearing is held at the end of the semester.
